Terms of Service

These Terms of Service ("Terms") govern access to and use of the software, websites, and services provided by Bogas Solutions LLC ("Bogas", "we", "us"), including the Bogas ERP platform and the business messaging integrations for WhatsApp, Instagram, and Facebook Messenger. By using the service you agree to these Terms.

1. Who we are

Bogas Solutions LLC is a software company based in Puerto Rico (United States). Website: bogassolutions.com. Contact: security@bogassolutions.com.

2. The service

Bogas provides business software that client organizations ("tenants") use to run their operations, and lets a tenant connect its own accounts (such as bank connections through Plaid and messaging accounts on WhatsApp, Instagram, and Facebook Messenger) to its workspace. For messaging, Bogas acts as a technology provider that helps the tenant receive and reply to messages from the tenant's own customers.

3. Accounts and eligibility

• The service is intended for businesses and users who are at least 18 years old.
• You are responsible for the accuracy of the information you provide and for keeping your login credentials secure.
• You must have the authority to connect any account (bank or messaging) you connect, and to authorize the processing described in our Privacy Policy.

4. Acceptable use

You agree not to use the service to:

• Send spam, unsolicited bulk messages, or content that violates the rules of WhatsApp, Instagram, Messenger, or other connected platforms.
• Break any applicable law, infringe others' rights, or attempt to access data that is not yours.
• Interfere with, probe, or disrupt the integrity or performance of the service.

When you use the messaging integrations, you also agree to comply with the applicable Meta platform terms and messaging policies. We may suspend access that puts our platform or a connected account at risk.

5. Customer data and ownership

Business and messaging data a tenant records or receives through the service belongs to that tenant. We process it on the tenant's behalf to operate the service, as described in the Privacy Policy. We do not sell it or use it for advertising.

6. Third-party services

The service integrates with third parties such as Meta Platforms, Plaid, Stripe, and QuickBooks. Your use of those integrations is also subject to the respective provider's terms, and we are not responsible for their services.

7. Fees

Fees, if any, are set out in the separate order or agreement between Bogas and the tenant. Where a tenant connects its own messaging account, any messaging charges billed by the platform provider are the tenant's responsibility.

8. Disclaimers and liability

The service is provided "as is" without warranties of any kind to the extent permitted by law. To the maximum extent permitted by law, Bogas is not liable for indirect, incidental, or consequential damages, and our total liability is limited to the amounts paid for the service in the twelve months before the claim.

9. Termination

Either party may terminate as set out in the applicable agreement. On termination, access ends and data is handled as described in the Privacy Policy and our data deletion instructions.

10. Changes

We may update these Terms from time to time. The current version is always published on this page with its revision date. Continued use after an update means you accept the revised Terms.

11. Governing law

These Terms are governed by the laws of the Commonwealth of Puerto Rico and the applicable laws of the United States, without regard to conflict-of-law rules.
